1. Introduction and acceptance

These Terms and Conditions ("Terms") govern your access to and use of Gadel, a software platform that automates trade execution and account management on third-party brokerages ("the Service"), operated by Gadel ("Gadel", "we", "us", or "our"). The Service includes our website, dashboard, execution engine, and any tools, bots, expert advisors, or integrations we provide.

By creating an account, joining the waitlist, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not use the Service.

You must be at least 18 years old and legally able to enter a binding contract to use the Service. By using it you represent that you meet this requirement.

2. What Gadel is, and what it is not

Gadel is a software and automation tool. It executes the signals, rules, strategies, and instructions that you configure. It connects to broker accounts that you own and control, and it can copy trades from sources you choose, place trades from rules you set, host a trading terminal on your behalf, mirror trades between accounts you connect, and run tools or strategies we make available.

Gadel is NOT any of the following, and you agree that it is not:

• Not a broker, exchange, or custodian. We never take custody of, hold, or control your trading funds. Your money stays in your own broker or exchange account at all times. We only send trade instructions to those accounts.
• Not a financial adviser, investment adviser, or fiduciary. Nothing in the Service is financial, investment, legal, tax, or trading advice, or a recommendation, solicitation, or endorsement to buy, sell, or hold any instrument. We do not know your circumstances and we do not advise you.
• Not a signal provider or strategy guarantor. Where you copy signals from a Telegram channel, another trader, or any third party, that content is theirs, not ours. Where we provide a tool, bot, or strategy (including any expert advisor such as the GX Strategy), it is provided as software for you to run at your discretion, and it does not guarantee any result.
• Not a guarantee of profit, performance, or outcome of any kind. See the risk disclosure in Section 4.

You are solely responsible for every decision to use, configure, enable, or disable any feature, source, rule, tool, or strategy, and for every trade that results.

3. Eligibility, accounts, and your responsibilities

To use the Service you must:

• provide accurate, current, and complete information and keep it updated;
• keep your login credentials confidential and not share your account;
• be solely responsible for all activity under your account;
• comply with all laws, regulations, and broker terms that apply to you, including any that restrict or prohibit automated trading, copy trading, or the use of specific brokers in your country;
• ensure that your use of any connected broker does not breach that broker's own terms of service.

You are responsible for confirming that automated trading and the specific brokers you connect are legal and permitted for you in your jurisdiction. We make no representation that the Service, or any broker it connects to, is available or lawful for you where you are. If it is not, you must not use it.

You must not, and must not allow anyone to:

• use the Service for any unlawful, fraudulent, or abusive purpose;
• access or use another person's account, or share, resell, sublicense, or redistribute the Service, our tools, bots, expert advisors, or credentials without our written permission;
• reverse engineer, decompile, scrape, or attempt to extract source code, wire protocols, or the logic of any tool or expert advisor we provide, except to the limited extent that applicable law expressly permits despite this restriction;
• interfere with, overload, or attempt to gain unauthorized access to the Service, our infrastructure, or other users;
• circumvent tier limits, licensing, token validation, or usage restrictions.

4. Risk disclosure and no guarantee of profit

• Trading foreign exchange, contracts for difference, synthetic indices, binary options, derivatives, and similar instruments carries a high level of risk and is not suitable for everyone. You may lose more than you expect, and in some products you may lose your entire balance.
• Past performance is not indicative of future results. No signal, source, trader, strategy, tool, bot, or expert advisor, whether provided by you, by a third party, or by us, guarantees any profit or protects against any loss. Any performance figures, examples, or illustrations shown anywhere in the Service or our marketing are for information only and are not a promise of future performance.
• Automation does not reduce market risk. Gadel removes human delay and emotion from execution, but it does not change whether a trade wins or loses. A losing signal or strategy still loses when executed automatically, and it may do so faster and more consistently than manual trading would.
• Market conditions can change rapidly. Prices can gap, slippage can occur, liquidity can disappear, and orders can fill at prices different from those expected or not fill at all. Leverage magnifies both gains and losses.
• Only trade with capital you can afford to lose entirely. Do not trade with money you need for living expenses, debt, or obligations. Consider seeking advice from an independent, licensed financial professional before trading.

You acknowledge and accept all of these risks. You accept that all trading decisions and their consequences are yours alone, and that Gadel is a tool you have chosen to use to carry out your own decisions.

5. Third-party brokers, sources, and services

The Service depends on and interoperates with third parties that we do not control, including brokers and exchanges (such as MetaTrader 5 brokers, Deriv, IQ Option, and others), Telegram and the channels or traders you follow, payment providers, and hosting and infrastructure vendors.

• We are not responsible for the acts, omissions, availability, pricing, execution, solvency, security, or terms of any third party. Your relationship with your broker, and any funds held there, is between you and that broker.
• We do not endorse, vet, or guarantee any signal channel, trader, group leader, strategy, or third-party source, and we are not responsible for content or instructions that originate from them, even where the Service executes them for you.
• Broker connectivity, API behavior, rate limits, downtime, or changes on the third party's side may interrupt, delay, or prevent execution, and we are not liable for the results. Where we host a trading terminal on your behalf, outages, maintenance, reboots, or provider failures may cause downtime during which trades may not execute.
• If a third party changes or withdraws access to its platform or API, we may have to modify, suspend, or discontinue the related feature without liability.

6. Copy trading and account-based mirroring

Where you use copy trading, you understand and agree that:

• If you follow a leader or channel, the trades placed in your account are driven by that leader's or channel's activity, which we do not control and do not vouch for. If you lead a group, others may mirror your trades, and you are responsible for your own conduct as a leader.
• Account-based mirroring can copy every trade on a connected account, including trades you place manually outside Gadel. You are responsible for understanding what will and will not be mirrored before enabling it.
• Sizing, timing, slippage, broker differences, and available balance mean a follower's results will differ, sometimes materially, from the leader's. A mirrored trade may lose even if the original did not, and vice versa.
• We are not liable for losses arising from any copy relationship, leader, follower, or mirrored trade.

7. Tools, bots, and expert advisors

From time to time we may provide automated tools, bots, or expert advisors (including the GX Strategy and any signal-receiving EA). Where we do:

• They are licensed to you, not sold, for use only while your account and subscription are active and only within the tier that includes them. They may stop working if your subscription lapses or your plan changes.
• They are provided "as is" and without any warranty or guarantee of profit, accuracy, uptime, or fitness for a particular purpose. You run them at your own risk and are responsible for monitoring them and for the trades they place.
• You may not copy, share, redistribute, resell, decompile, or attempt to extract the logic or licensing of any tool or expert advisor we provide.
• We may update, change, restrict, or withdraw any tool or expert advisor at any time.

8. Subscriptions, payments, and add-ons

• Some features require a paid subscription or paid add-ons. Current plans and prices are shown in the Service and may change. We may offer a limited free tier.
• Prices, plans, and inclusions may change. Where they do, the change applies to your next billing cycle, not retroactively to a period you have already paid for.
• Payments are processed by third-party payment providers. By paying, you also agree to the relevant provider's terms. We are not responsible for the acts or failures of a payment provider, but a failed or reversed payment may prevent or suspend access.
• A paid period grants access for the stated duration. Unless required by applicable law or expressly stated otherwise, payments are non-refundable, including where you did not use the Service, where a trade or strategy lost money, where a third party failed, or where your account is suspended or terminated for breach of these Terms. Any goodwill refund is at our sole discretion and is not a precedent.
• If your subscription lapses, we may downgrade your plan, disable paid features, and stop any tool or expert advisor that required that plan, after any grace period we choose to offer.

9. Referral rewards and payouts

Where we operate a referral or rewards program (including Gadel Points):

• Rewards are a discretionary benefit, not a payment obligation, wage, or security, and we may change, pause, or end the program, or adjust rates, thresholds, and rules, at any time.
• Rewards accrue only on genuine, completed, non-reversed payments by users you actually referred. We may withhold, reverse, or cancel rewards obtained through fraud, abuse, self-referral, chargebacks, fake accounts, or any breach of these Terms.
• Payouts, where offered, are made to a cryptocurrency wallet address that you provide. You are solely responsible for the accuracy of that address. Blockchain transactions are irreversible. We are not liable for funds sent to a wrong, incompatible, or compromised address that you supplied, or for network fees, delays, or the acts of the payout provider or blockchain network.
• Payouts may be subject to minimum thresholds, caps, verification, and review. You are responsible for any taxes on rewards you receive.

10. Intellectual property

The Service, including its software, engine, tools, expert advisors, wire protocols, design, text, and branding, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while you comply with these Terms. All rights not expressly granted are reserved. You keep ownership of the data and content you provide, and you grant us the rights needed to operate the Service for you as described in the Privacy Policy.

11. Service availability, changes, and beta features

• The Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, timely, error-free, secure, or free of delay, and we do not guarantee any level of uptime, latency, or execution speed. Any figure such as "trades placed in seconds" is a typical illustration, not a guaranteed performance level.
• We may modify, add, suspend, or discontinue any part of the Service, including broker support, tools, or features, at any time, with or without notice.
• Some features may be labelled as waitlist, early access, beta, coming soon, or similar. These may be incomplete, unstable, or withdrawn, and are provided with no warranty and no guarantee that they will be released.
• We may perform maintenance that causes downtime. During any downtime, trades may be delayed or may not execute.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Service and everything provided through it, including any tool, bot, expert advisor, signal execution, data, balance figure, or performance information, is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranty arising from course of dealing or usage. We do not warrant that the Service will meet your requirements, be error-free, or produce any particular trading result.

13. Limitation of liability

To the fullest extent permitted by law:

• Gadel, its owners, officers, employees, contractors, and suppliers are not liable for any trading losses, lost profits, lost opportunity, missed or delayed trades, or reduction in the value of any account, however caused, whether arising from your use of the Service, from a signal, source, leader, tool, or strategy, from a third-party broker or payment or hosting provider, from market movement, from downtime or technical failure, or otherwise.
• We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, goodwill, or funds, even if we were advised of the possibility.
• Where liability cannot lawfully be excluded, our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the greater of the amount you actually paid us for the Service in the three months immediately before the event giving rise to the claim, or fifty United States dollars (USD 50).
• Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In that case our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gadel and its owners, officers, employees, contractors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with: your use of the Service; your trades and trading decisions; your breach of these Terms; your violation of any law, regulation, or third-party right, including any broker's terms; the credentials, data, or content you provide; and any dispute between you and a broker, signal source, leader, follower, or other user.

15. Suspension and termination

• We may suspend or terminate your access, remove content, or disable features at any time, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud or abuse, created legal or security risk, or where required by law or by a third party we depend on.
• You may stop using the Service and close your account at any time.
• On termination, your license to use the Service ends and any tool or expert advisor may stop working. Sections that by their nature should survive (including risk disclosure, disclaimers, limitation of liability, indemnification, intellectual property, and governing law) survive termination.
• We are not liable to you for any suspension or termination made in accordance with these Terms, and no refund is due for a period lost to a suspension or termination for breach.

16. Data protection

Your use of the Service is also governed by our Privacy Policy, which explains what personal data we collect, how we use and protect it, including the encrypted handling of broker and Telegram credentials, and your rights. By using the Service you consent to that processing.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes, take reasonable steps to notify you, for example by posting a notice in the Service or by email. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Service.

18. Governing law and disputes

These Terms are governed by the laws of Nigeria, without regard to conflict-of-law rules. You agree that the courts of Nigeria have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory local law gives you a right to bring proceedings elsewhere. Nothing in this section removes any non-waivable consumer protection you have under the law of your country of residence.

19. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreement on the subject.
• Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision is limited to the minimum extent necessary.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries except our indemnified parties in Section 14.
